Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of DebtChaser Pro, a cloud-based credit control platform operated by THS Credit Control. By creating an account or using the service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the service.

2. Service Description

DebtChaser Pro is a cloud-based credit control platform designed for UK businesses. The service provides the following core features:

• Automated invoice chasing — configurable email sequences to remind your customers of outstanding invoices and encourage timely payment.
• Credit risk assessment — tools to evaluate the creditworthiness of your customers using available financial and company data.
• Accounting software integration — synchronisation with platforms such as Xero to import invoices, contacts, and payment records.
• Payment link generation — integration with Stripe to create payment links that can be included in chase communications.
• Reporting and dashboards — visual overviews of your accounts receivable, ageing analysis, and collection performance.

3. Account Terms

By registering for a DebtChaser Pro account, you agree to the following:

• You must be at least 18 years of age to create an account and use the service.
• You must provide accurate, complete, and up-to-date information during the registration process and keep your account details current.
• You are responsible for maintaining the security and confidentiality of your account credentials. You must not share your login details with unauthorised individuals.
• Each account is intended for use by a single organisation. If you require accounts for multiple organisations, separate registrations are needed.
• You are responsible for all activity that occurs under your account, whether or not you authorised that activity.

4. Acceptable Use

You agree to use DebtChaser Pro responsibly and lawfully. You must not:

• Use the service for any illegal, fraudulent, or unlawful purpose.
• Send unsolicited bulk emails, spam, or communications that violate applicable anti-spam legislation.
• Attempt to gain unauthorised access to any part of the service, other users' accounts, or our underlying systems and infrastructure.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the platform.
• Resell, sublicense, or redistribute access to the service without our prior written permission.
• Use the service in any manner that could damage, disable, overburden, or impair our servers or networks.

5. Payment Terms

Access to DebtChaser Pro is available through paid subscription plans:

• Billing — subscription plans are billed either monthly or annually, depending on the plan you select. Payment is due at the start of each billing period.
• Free trial — new users are entitled to a 14-day free trial. No payment details are required to start a trial. At the end of the trial, you must subscribe to a paid plan to continue using the service.
• Price changes — we reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect. Changes will apply from your next billing period after the notice period.
• Refunds — we do not offer refunds for partial months or unused portions of a subscription period. If you cancel your subscription, you will retain access to the service until the end of your current billing period.

6. Data & Privacy

Your use of DebtChaser Pro is subject to our Privacy Policy, which explains how we collect, use, and protect your data.

• Data ownership — you retain full ownership of all data you upload, import, or create within DebtChaser Pro. We do not claim any ownership rights over your data.
• Data processing — we process your data as a data processor under the UK GDPR, acting on your instructions to provide the service. You are the data controller in respect of your customer data.
• Data security — we implement appropriate technical and organisational measures to protect your data against unauthorised access, loss, or destruction.

7. Third-Party Services

DebtChaser Pro integrates with third-party services to deliver its functionality:

• Xero — for accounting data synchronisation, subject to Xero's terms of use.
• Stripe — for payment link generation, subject to Stripe's terms of service.
• Companies House — for public company data access, subject to Companies House terms of use.

Your use of these third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or reliability of any third-party service, and we shall not be liable for any loss or damage arising from your use of or reliance on them.

8. Intellectual Property

DebtChaser Pro, including its design, code, features, documentation, branding, and all associated content, is the intellectual property of THS Credit Control. All rights are reserved.

You may not copy, modify, distribute, sell, or lease any part of the platform or its content without our prior written consent. You may not use our trademarks, logos, or branding in any way that could cause confusion or imply endorsement without permission.

9. Limitation of Liability

DebtChaser Pro is provided on an "as is" and "as available" basis. To the fullest extent permitted by law:

• We make no warranties or representations, express or implied, regarding the service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or business interruption.
• We shall not be liable for any data loss that is beyond our reasonable control, including loss caused by third-party service failures or force majeure events.
• Our total aggregate liability to you for any claims arising from or relating to the service shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

10. Termination

Either party may terminate the use of DebtChaser Pro at any time:

• By you — you may cancel your account at any time through your account settings or by contacting us. Your access will continue until the end of your current billing period.
• By us — we may suspend or terminate your account if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law. We will provide reasonable notice where possible.
• Data export — following termination, your data will remain available for export for 30 days. After this period, we will delete your data in accordance with our data retention policy.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
